Hologic Q1 comes up short of Street expectations ahead of sale to private equity

Hologic (Nasdaq: HOLX) shares remained relatively unmoved today on first-quarter results that fell shy of the Wall Street forecast.

Shares of HOLX more or less stayed put around $75 apiece just after the market opened today. The S&P 500 was down slightly.

The Marlborough, Massachusetts–based breast health and diagnostics company reported profits of $179.1 million. That equals 79¢ per share on sales of $1.05 billion for the three months ended Dec. 27, 2025.

Hologic recorded a 10.9% bottom-line slide on a sales increase of 2.5%.

Adjusted to exclude one-time items, earnings per share came in at $1.04. That ended up 6¢ shy of expectations on Wall Street. Sales also fell just short as experts forecast $1.07 billion in revenue.

Hologic is looking to move forward with its planned sale to private equity. In October 2025, the company announced that it agreed to be acquired by funds managed by private equity firms Blackstone and TPG. The deal could reach up to $18.3 billion in value and marks the latest medtech M&A deal involving private equity.

As a result of the ongoing transaction, the company is not providing quarterly or full-year guidance for 2026. It won’t hold a conference call to discuss the latest results, either.

Hologic scheduled a special meeting of stockholders to vote on adopting the merger agreement, set for Feb. 5, 2026.

More details on the first-quarter performance at Hologic

Hologic attributed its earnings decrease in large part to favorable foreign exchange gains in the prior year period.

The company reported $464.4 million in Diagnostics revenue, marking a 1.3% year-over-year decrease. Excluding COVID-19 and related revenue, organic diagnostics sales grew 1.2%, however. Meanwhile, molecular diagnostics revenue decreased 3.5%. The company attributed that to lower sales of COVID-19 tests and legacy assays for sexually transmitted infections. Stronger sales of BV CV/TV and Panther Fusion assays partially offset that decline.

In Breast Health, Hologic reports $375.9 million in revenue, marking a 1.8% increase. It attributed this primarily to strong sales of its Endomagnetics products.

Finally, the company reported $180.8 million in Surgical revenue, representing 8.7% growth. Hologic put that growth primarily down to increased sales of its acquired Gynesonics business, MyoSure and Fluent.
