
The British giant will purchase the U.S.-based commercial developer specializing in sports medicine with an upfront cash payment of $225 million, with additional performance-based payments up to $225 million over the next five years. The deal is expected to close before the end of the month.
The acquisition delivers on Smith+Nephew’s “RISE 2026” strategy aimed at advancing its financial and operational performance by expanding its portfolio and reaching more patients globally.
Integrity Orthopaedics developed a rotator cuff repair system called Tendon Seam. In the announcement, Smith+Nephew presented data highlighting the high structural failure rates (20-40%) with traditional surgical techniques in rotator cuff repairs, and said Tendon Seam “directly addresses” this unmet clinical need. The system is designed to reduce re-tear rates and improve patient outcomes with its patented micro-anchors, individually locked stitches and integrated implantation system. And early clinical data backs Tendon Seam’s promises, indicating reduced sling times, shorter procedures and low re-tear rates compared with standard methods.
Smith+Nephew isn’t new to the rotator cuff repair industry; the Integrity Orthopaedics move aims to strengthen Smith+Nephew’s already extensive shoulder repair portfolio.
In 2017, the company acquired Rotation Medical and its tissue regeneration technology, the Regeneten bioinductive implant, for shoulder rotator cuff repair, for an initial cash payment of $125 million. The implant has been used in over 100,000 rotator cuff procedures globally since its introduction in 2014.
In July 2025, shortly before the company’s CFO relocated from the U.K. to the U.S., Smith+Nephew released its Q-Fix Knotless All-Suture Anchor, adding another element to its shoulder repair lineup that began with the Aetos Shoulder System, designed to address the growing demand for anatomic and reverse total shoulder replacement. The Aetos Shoulder System supported an estimated 250,000 procedures in the US throughout 2025.
Smith+Nephew’s President of Sports Medicine, Scott Schaffer, emphasized how the addition of Integrity Orthopaedic’s Tendon Seam will impact the company’s portfolio in the company’s statement:

Smith+Nephew expects the deal to be accretive to the company’s trading profit margin by 2028, the announcement said.
