Getinge Group pays $680 million for Atrium Medical | Acquisitions Roundup

Sweden-based Getinge Group announced a definitive agreement to acquire soft tissue reinforcement technology developer Atrium Medical for $680 million.

Atrium will operate as an independent, self-contained unit of Getinge subsidiary Maquet Cardiovascular and will continue to be led by current Atrium president, Trevor Carlton, according to a press release.

Alere won’t take no for an answer | Acquisitions Roundup

After a firm rejection of its buyout offer, Alere Inc. (NYSE:ALR) has started pleading to the sensibilities of Scottish competitor Axis-Sheild’s shareholders. This is not the first time the two firms have traded statements since Alere first offered its buyout in June.

Response to Statement by Alere AS Holdings Limited (“Alere”), a wholly-owned subsidiary of Alere Inc.

The Board of Axis-Shield (the “Board”) notes today’s announcement released by Alere reiterating its unsolicited offer of 460 pence per share (the “Offer”).

The Board of Axis-Shield is disappointed that Alere has not taken notice of the firm rebuttal from shareholders to its wholly inadequate offer, made clear by the less than 1 per cent. level of acceptances it previously received as disclosed in Alere’s announcement of 16 September 2011.

Alere bids cash for Axis-Shield

Since Alere’s Rule 2.4 announcement on 6 July 2011, Axis-Shield has released a number of announcements, including its Interim Results for the six months ended 30 June 2011 (the “Interim Results”) and its shareholder circular (the “Defence Document”), none of which, in Alere’s opinion, have revealed any material new information.

Alere is disappointed that neither the Board of Axis-Shield, nor its advisors, have held any discussions or sought to engage with Alere, since the date that Alere announced its firm intention to make an offer for Axis-Shield.

ConvaTec forays into Latin America with Boston Medical Device acquisition | Acquisitions Roundup

Medical device maker ConvaTec nabbed up Boston Medical Device, increasing its foothold in emerging markets in Latin America.

Skillman, N.J.-based ConvaTec didn’t disclose the terms of the acquisition, the announcement follows rumors that it had propositioned Kinetic Concepts Inc. (NYSE:KCI) late last month, wooing it away from a $6.3 billion offer.

Symmetry bags Olsen Medical | Acquisitions roundup

Orthopedic company Symmetry Medical (NYSE:SMA) signed a definitive agreement to acquire Olsen Medical the terms of which were not disclosed. 

Olsen manufactures single-use and reusable forceps, cords, electrosurgical pens/pencils, electrodes and accessories sold primarily in the U.S. and internationally through distributors.

Alere made unsuccessful bid for Scottish competitor

Perhaps it was a case of spring fever when Alere Inc. (NYSE:ALR) went a-courting for Scottish competitor Axis-Shield in early June.

Unfortunately for the Waltham, Mass.-based diagnostics firm, Axis-Shield said “No thanks” to a $369 million unsolicited bid, according to a prepared release.

Alere officials said today that the company offered a non-binding proposal to acquire all issued and to be issued shares of Axis-Shied, which makes in vitro and point-of-care diagnostics for cardiovascular, autoimmune and infectious diseases.

CareFusion acquires German robotics company for $150 million | Acquisitions roundup

CareFusion Corp. (NYSE:CFN) announced that it acquired Rowa, a Germany-based robotic medication storage company, for $150 million this week.

Rowa develops automated pharmaceutical storage and retrieval systems, which CareFusion will combine with its own Pyxis line of dispensing and security systems. Rowa’s products include refrigerated storage and a stock input and management system.
