- CareFusion offloads OnSite Services unit
CareFusion (NYSE:CFN) announced that it has signed an agreement to sell its OnSite Services instrument management and repair business to Frazier Healthcare. Financial terms of the agreement were not disclosed. “The decision to sell OnSite Services is in line with our strategy to optimize our portfolio of businesses as we focus our operations to profitably grow for the long term,” CareFusion CEO David Schlotterbeck said in prepared remarks.

ifa Systems AG, an ophthalmology IT company in based in Cologne, Germany, announced the acquisition of inoveon Corporation, a company that specializes in detection, staging and monitoring of diabetic retinopathy and macular edema. The acquisition took place on Dec. 29, 2010. ifa Systems has an electronic health record system for ophthalmology that has been adopted in Europe, Latin America and has now been introduced into the North American and Asian markets.

(OTC:MFLU) for $1.35 per share, net to the seller in cash, and subject to adjustment as provided in the merger agreement. The transaction is expected to close in the first quarter of 2011. The $1.35 per share cash purchase price represents a premium of approximately 69 percent over Microfluidics’ volume-weighted average share price during the 30 trading days ending January 10, 2011, the last trading day prior to this announcement, and a 75 percent premium over Microfluidics’ volume-weighted average share price during the 90 trading days ending Jan. 10, 2011.
